Eligibility

1. GBC Wellness products will only be sold to stocking and non-stocking health care practitioners and select health retail stores and online retail sites (“Resellers”).
2. Resellers must be authorised businesses operating legally within their respective jurisdictions and must have a valid tax identification number or other relevant business identification.

Retail Pricing

1. Retail pricing is located in the brand asset section of each brand and on the latest price list in the ‘Menu’ dropdown on our website.
2. It is up to the Reseller to regularly review GBC Wellness’s suggested retail pricing list to ensure they are up to date with any price changes.

Internet Sales and Distribution

To comply with the legal requirements of our business, we have established the below internet sales and distribution guidelines:

1. Authorised Distribution
   

   Resellers are authorised to distribute and sell GBC Wellness (“Supplier”) products within the country of their business registration as specified in their account application.

2. Cross-Border Sales
   

   If Resellers wish to sell GBC Wellness products outside the country of their business registration as specified in the account application, they must obtain express written permission from GBC Wellness.

   This policy ensures that our products are distributed in accordance with our business strategies and legal obligations.

3. Non-Exclusive Distribution
   

   The distribution rights granted to the Reseller are non-exclusive, allowing GBC Wellness to engage with other resellers and distributors within the UK and outside the UK.

4. Prohibited Third-Party Sales
   

   Products purchased from GBC Wellness cannot be sold via shopping engines (Nextag, Shopzilla, etc), online marketplaces (Amazon, eBay, Yahoo Stores, etc) or affiliate networks (Commission Junction, Amazon, etc) without the express written permission of GBC Wellness. By signing this agreement, you also agree not to knowingly sell to individuals or companies that sell on third-party websites.

5. Compliance with Local Laws and Regulations
   

   In addition to obtaining permission from GBC Wellness, you are responsible for complying with all applicable laws and regulations of the country where you intend to sell our products. It is essential to ensure that your business operations, marketing practices, and sales activities adhere to the legal requirements and standards of that jurisdiction.

6. Monitoring and Enforcement
   

   GBC Wellness reserves the right to monitor and enforce compliance with this sales and distribution policy. We may periodically review websites and sales channels to ensure that they adhere to our policies and guidelines. In case of any violation, GBC Wellness reserves the right to take appropriate action, which may include terminating the authorisation to sell our products. GBC Wellness reserves the right to grant exemptions to these provisions where applicable.

Inventory and Stocking

1. Resellers are responsible for maintaining adequate inventory levels to meet customer demand.
2. GBC Wellness reserves the right to limit the quantity of products available for purchase by resellers.

Quality Control

1. Resellers shall ensure that the products are stored, handled, and transported in accordance with the product specifications to maintain product quality. The Reseller shall promptly inform GBC Wellness of any product defects or concerns raised by customers, in accordance with our Shipping and Returns Policy.

Customer Support and Warranty

1. Resellers are responsible for providing customer support and handling product returns or warranty claims.

Marketing and Branding

1. Resellers must accurately represent GBC Wellness products, their benefits, and their intended uses in their marketing materials.
2. Resellers are prohibited from making false or misleading claims about GBC Wellness products.
3. Resellers may use GBC Wellness trademarks and logos only as provided by GBC Wellness and in accordance with brand guidelines.

Confidentiality

1. Resellers must maintain the confidentiality of any proprietary or confidential information shared by GBC Wellness, including pricing, product details, and marketing strategies.

Intellectual Property Rights

1. Resellers acknowledge that all intellectual property rights, including trademarks, copyrights, and patents, related to the GBC Wellness’ products remain the exclusive property of GBC Wellness and the relative products brand partners. The Reseller agrees not to infringe upon or misuse any of these rights.

Termination

1. GBC Wellness reserves the right to terminate or suspend the reseller agreement at any time for violation of this Sales Policy or other justifiable reasons.
2. Resellers may terminate the agreement with prior written notice, provided all outstanding obligations are fulfilled.

Governing Law and Jurisdiction

1. This Sales Policy shall be governed by and interpreted in accordance with the laws of England and Wales. Any disputes arising out of or related to this agreement shall be resolved in the courts of England and Wales.
